About SU Payments

SU Payments (Systems Upside Payments) is an online payment processing provider for businesses that get paid online.

This website is run by Systems Upside LLC, a business based in North Carolina, USA. In these terms, “the site” means this website; “SU Payments,” “we,” “us” and “our” mean Systems Upside LLC; and “you” means anyone who uses the site.

General information, not advice

The site explains how payment processing works and describes SU Payments’ services. Its content is general information only. It is not financial, legal, tax or accounting advice, and it doesn’t take your business’s circumstances into account. Talk to a qualified professional before you act on it.

Payment processing rules, fees and industry practices change over time, and the site may not reflect the latest changes.

Calculator results and published figures

The calculator estimates processing costs only from the numbers you enter, and it assumes the same volume every month. Its results are a cost illustration. They are not a savings estimate, a quote, an offer or SU Payments pricing, and your actual costs depend on your business, your agreement and how your customers pay.

The industry figures on the Pricing page are typical published ranges, published examples and limits set by regulations and payment rules, and they change over time. They and the page’s worked example are not SU Payments pricing, and your own statement shows what you actually pay. The page’s summary of SU Payments’ own pricing and terms is general information; your written agreement sets the terms that apply to you.

Pricing information on this site

The site describes how SU Payments prices its services and shows some of its terms: the one-year agreement, the $35 early termination fee, ACH pricing and the ACH return fee, and the features included at no added fee. These descriptions are summaries.

Your actual pricing and terms are set in your merchant agreement, after your business applies and is approved. If anything on the site differs from your merchant agreement, the merchant agreement governs.

Worked examples and industry figures on the site are illustrations. They are not quotes, offers or SU Payments pricing.

No offer of services

Nothing on this site is an offer to provide payment processing or any other service, or a promise that your business will be approved. Merchant services are available only to businesses that apply and are approved, and only under a separate written agreement. That agreement, not these terms, governs those services.

Using the site responsibly

You may use the site to learn about SU Payments and payment processing. When you use it, you agree not to:

• use it for anything unlawful or fraudulent;
• copy or collect its content with automated tools in a way that harms the site, slows it down or gets around limits we set;
• interfere with the site or the systems that deliver it, for example by overloading them or spreading malicious code;
• try to reach any part of the site or our systems that isn’t meant for you;
• test the site’s security without our written permission; or
• use the site’s content or the SU Payments name to mislead anyone, including by pretending to be us.

Search engines and similar tools may index the site if they follow its robots.txt file, the standard file that tells automated tools which pages they may visit.

Reporting a security issue. If you find a security problem, call us at 919-338-6283, the contact listed in our security.txt file (a standard file that tells security researchers how to reach us). Without our written permission, don’t test any further, and don’t access or change information that isn’t yours.

Intellectual property

The site and its content, including its text, design, graphics, illustrations and logo, belong to Systems Upside LLC or are used with permission, and are protected by copyright, trademark and other laws. SU Payments and Systems Upside Payments are names and marks of Systems Upside LLC.

You may view the site and print or save pages for your own information or your business’s internal use. Anything else, such as copying, changing or republishing the content or using our names or logo, needs our written permission. As an exception, search engines and AI assistants may index the site and quote short excerpts from it, if they attribute each excerpt to SU Payments and link to the page it came from.

Sample illustrations are fictional. Each product illustration on this site is labeled as sample data. The names, businesses, amounts and other details in them are made up. They don’t describe real customers or transactions, and they aren’t results your business should expect.

Links to other websites

The site may link to websites run by others. We provide those links for convenience only. We don’t control those websites and aren’t responsible for their content, products, services or privacy practices, and a link isn’t an endorsement.

Disclaimers

The site and its content are provided “as is” and “as available.” To the fullest extent the law allows, we make no warranties of any kind about them, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

We don’t promise that the site will always be available or uninterrupted, or that it will be free of errors or harmful components.

Limitation of liability

To the fullest extent the law allows, Systems Upside LLC and its owners, employees and agents won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the site or its content, even if we were told they were possible. To the same extent, our total liability for all claims arising from or related to the site or these terms is limited to one hundred US dollars ($100).

Some places don’t allow some of these limits, so they may not all apply to you.

Indemnity

If you misuse the site or break these terms, and that leads to a claim against Systems Upside LLC or its owners, employees or agents, you agree to defend them and to pay the resulting losses and costs, including reasonable legal fees.

Governing law and where disputes are heard

The laws of the State of North Carolina govern these terms and any dispute about the site, without regard to conflict-of-law rules (rules that could otherwise point to another state’s law). Any such dispute must be brought in the state or federal courts located in Wake County, North Carolina, and you and we agree to those courts’ jurisdiction.

If a court finds any part of these terms unenforceable, the rest still applies.

Changes to these terms

We may update these terms. When we do, we’ll post the new version on this page and change the effective date at the top. The new version applies to your use of the site from that date, so if you keep using the site, you accept it. We may also change or stop offering any part of the site at any time.
